Item 1. Description of Registrant’s Securities to be Registered.

Verrica Pharmaceuticals Inc. (the “Registrant”) hereby incorporates by reference the description of its common stock, par value $0.0001 per share, to be registered hereunder contained under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-225104), as originally filed with the Securities and Exchange Commission (the “Commission”) on May 22, 2018, including exhibits, as subsequently amended on June 5, 2018, and as may be subsequently further amended (the “Registration Statement”), and in the prospectus included in the Registration Statement to be filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, which description included in such prospectus shall be deemed to be incorporated by reference herein.
